Merger of the Issuer with another entity

LPP S.A. Management Board, having its registered office in Gdańsk, informs that on 1 July 2009 the Issuer merged with Artman S.A., having its registered office in Kraków.
The companies merged pursuant to Article 492 § 1 point 1 of the Commercial Companies Code (merger through takeover) by means of transferring all Artman’s assets (as the Acquiree) to LPP (as the Acquiror) LPP S.A.
The following companies merged:
a) The Issuer, as the Acquiror, running clothes design and distribution activity.
b) Artman S.A., as the Acquiree, running the same clothes design and distribution activity as LPP S.A. till the day of the merger.
The Merger was entered in the Register of Entrepreneurs kept by the District Court Gdańsk-Północ in Gdańsk, 7th Commercial Division of the National Court Register on 1 July 2009.
